MemOS products and services are owned and operated by Memory Tensor (Shanghai) Technology Co., Ltd. (hereinafter referred to as“we”, “us”, “our”, or “MemOS”). Before using this service, you must carefully read and understand this MemOS User Agreement (hereinafter referred to as “this Agreement”).

MemOS产品及服务由记忆张量（上海）科技有限公司（以下简称“我们”或“MemOS”）所有和负责运营。在使用本服务前，请您务必仔细阅读并理解本《MemOS用户协议》（以下简称“本协议”）。
Before using the service, please carefully read and fully understand all contents of this Agreement. In particular, provisions involving exemption or limitation of liability and clarification of rights and obligations of both parties will be highlighted in bold, underlined, or other conspicuous ways for your attention.
请您在使用服务前，仔细阅读并充分理解本协议全部内容。特别是涉及免除或限制责任、明确双方权利义务的条款，我们将以加粗、下划线等显著方式提示您重点关注。
If you do not agree to this Agreement, you will not be able to use our complete products and services, and you may choose to stop using them. Once you click “agree” or actually use this product and related services, you are deemed to have fully understood and voluntarily accepted this Agreement, as well as other agreements and rules related to this product and services.This agreement shall have legal effect between you and Memory Tensor (Shanghai) Technology Co., Ltd. If you have any questions, opinions, or suggestions about the Agreement content, please contact us through the feedback and complaint portal of this software.
若您不同意本协议，将无法使用我们的完整产品及服务，您可选择停止使用。一旦您点击同意或实际使用本产品及相关服务，视为您已充分知悉并自愿接受本协议，以及其他与本产品及服务相关的协议、规则约束，本协议即在您与记忆张量（上海）科技有限公司之间产生法律效力。如对协议内容有任何疑问、意见或建议，欢迎通过本软件的反馈与投诉入口与我们联系。
To continuously optimize service experience, we have the right to revise user service agreements and rules according to business development needs, and notify you through webpage announcements, internal messages, push notifications, and other means. When necessary, we may take measures such as suspending or terminating services to ensure effective communication of updated content.
为持续优化服务体验，我们有权根据业务发展需要修订用户服务协议及规则，并通过网页公告、站内信、消息推送等方式通知您。必要时，可能采取暂停或终止服务等措施确保更新内容有效传达。
After the Agreement is changed, if you do not accept the revised terms, you should immediately stop using the service; if you continue to use it, you are deemed to have fully understood and agreed to comply with the modified Agreement content.
协议变更后，若您不接受修订条款，应立即停止使用服务；若继续使用，则视为您已充分知悉并同意遵守修改后的协议内容。
This Agreement covers all relevant agreements and rules continuously published by MemOS, and specific service content shall be subject to what is actually displayed and provided by the platform. When renewing or subscribing to product services, you need to comply with the terms and conditions in effect at that time.
本协议涵盖MemOS持续发布的所有相关协议及规则，具体服务内容以平台实际展示和提供为准。在续签或订购产品服务时，您需遵守当时有效的条款约定。
When the platform launches new services, the Agreement content will be updated simultaneously. Once the revised Agreement is published, it automatically becomes part of this Agreement, and your continued use of related services is deemed as acceptance of the new terms.
平台推出新服务时，将同步更新协议内容。修订后的协议一经公布，即自动成为本协议的组成部分，您继续使用相关服务即视为接受新条款约束。
We provide products and services through various technical forms including web pages, applications (including different versions), mini-programs, software development kits (SDKs), application programming interfaces (APIs), and others. Meanwhile, with technological evolution, we will continue to explore and launch innovative service forms.
我们通过网页、应用程序（含不同版本）、小程序、软件开发工具包（SDK）、应用程序编程接口（API）等多种技术形态，为您提供产品与服务。同时，随着技术演进，我们将持续探索并推出创新服务形式。
The services provided by the platform mainly cover functions such as memory production, storage, and retrieval. With technological development and business expansion, a series of new service projects may be developed in the future.
平台所提供的服务，主要涵盖了记忆生产、存储、调用等功能。并且，随着技术的发展与业务的拓展，未来还可能会开发出一系列新型服务项目。
MemOS, as a technology service provider adhering to the principle of neutrality, only undertakes the research and development of technical products and the provision of services. During the use of platform services, all works you create, including but not limited to written works, data results, etc., are your sole responsibility to operate and manage. At the same time, you need to independently bear all legal responsibilities arising from these works, including but not limited to intellectual property infringement, illegal or non-compliant content, and other aspects of liability.
MemOS作为秉持中立原则的技术服务供应商，仅承担技术产品的研发与服务的提供工作。在使用平台服务的过程中，您所创作的各类作品，包括但不限于文字作品、数据成果等，均由您自行负责运营管理。同时，您需独立承担因这些作品所产生的全部法律责任，包括但不限于知识产权侵权、内容违法违规等方面的责任。
Based on factors such as generative artificial intelligence technology iteration, model optimization, product upgrades, and changes in laws and regulations, we may add, upgrade, change, suspend, or terminate services, and may make necessary adjustments to service technology, implementation methods, performance indicators, etc. For new service functions, internal testing or public testing may be conducted.
基于生成式人工智能技术迭代、模型优化、产品升级，以及法律法规变化等因素，我们可能对服务进行新增、升级、变更、中止或终止，同时可能对服务技术、实现方式、性能指标等进行必要调整。针对新增服务功能，可能开展内部测试或公开测试。
We will strictly follow industry standards, take necessary technical and management measures to ensure platform network security and stable operation. At the same time, we will continuously invest resources to optimize technical solutions and continuously improve your service experience.
我们将严格遵循行业通行标准，采取必要技术与管理措施，保障平台网络安全、稳定运行。同时，持续投入资源优化技术方案，不断提升您的服务使用体验。
You need to complete registration through third-party authorized accounts or mobile phone numbers, and ensure that the submitted identity information is true, accurate, legal, and valid. If information is missing, incorrect, or of questionable authenticity, the platform has the right to restrict the use of related functions.
您需通过第三方授权账号或手机号完成注册，并确保提交的身份信息真实、准确、合法有效。若信息存在缺失、错误或真实性存疑，平台有权限制相关功能使用。
Account ownership belongs to MemOS, and you only obtain limited usage rights. Without written permission, accounts may not be transferred, lent, rented, shared, or inherited in any form.
账号所有权归MemOS所有，您仅获得有限使用权。未经书面许可，账号不得通过任何形式转让、出借、出租、共享或继承。
You need to bear legal responsibility for all operational behaviors under your account, properly safeguard your account and password, and prevent information leakage. It is prohibited to impersonate others' identities, maliciously register in bulk, or use accounts for illegal or non-compliant activities.
您需对账号下的全部操作行为承担法律责任，应妥善保管账号及密码，防止信息泄露。禁止实施冒用他人身份、恶意批量注册、利用账号从事违法违规活动等行为。
Before using the service, please ensure that you have the civil capacity that matches the activities you engage in. If you are a minor, you need to use the service under the full supervision of a legal guardian, and the related responsibilities shall be jointly borne by you and your guardian.
使用服务前，请确保您具备与所从事活动相匹配的民事行为能力。若为未成年人，需在法定监护人全程监督下使用服务，相关责任由您及监护人共同承担。
You can apply to cancel your platform account according to the corresponding process, but you should still be responsible for all actions you take before and during the use of the platform. After successful account cancellation, account information and generated content (including but not limited to text, data, records, etc.) will be permanently deleted and cannot be restored. Please handle with caution.
您可以按照相应流程申请注销平台账号，但您仍应对您在注销账号前以及使用平台期间进行的一切行为承担相应责任。账号注销成功后，账号信息及生成内容（包括但不限于文字、数据、记录等）将被永久删除，无法恢复，请您谨慎操作。
For disputes caused by account transfer or sharing, the platform has the right to freeze or ban related accounts and does not provide account recovery services.If you submit false registration information or violate laws, regulations, and the provisions of this agreement,we will take punitive measures such as function restrictions and account bans according to the circumstances, and all consequences arising therefrom shall be borne by you.
因账号转让、共享导致的纠纷，平台有权冻结或封禁相关账号，且不提供账号找回服务。若您提交虚假注册信息，或违反法律法规及本协议约定，我们将视情节采取功能限制、账号封禁等处罚措施，由此产生的一切后果由您自行承担。
The copyright of content you generate through this service belongs to you. However, you clearly understand and confirm that the generated content is based on the algorithms, databases, and technical systems of this product, and you may not claim any rights to the underlying models, training data, system architecture, or other technical elements of this product.
您通过本服务生成的内容，其著作权归属于您。但您明确知悉并确认，该生成内容系基于本产品的算法、数据库及技术系统产生，您不得因此主张对本产品的底层模型、训练数据、系统架构或其他技术元素享有任何权利。
Furthermore, if you use the generated content for scientific research, education, commercial, or other scenarios that lead to copyright disputes, academic misconduct investigations, compliance inquiries, or legal proceedings, you should independently bear all legal responsibilities, including but not limited to responding to lawsuits, compensation, statement corrections, and eliminating adverse effects.
此外，如您将生成内容用于科研、教育、商业或其他场景而引发的版权争议、学术不端调查、合规质询或法律诉讼，您应独立承担全部法律责任，包括但不限于应诉、赔偿、声明更正、消除影响等义务。
All other rights not explicitly granted to you in this Agreement are reserved by MemOS. If you need to exercise these rights, you must obtain separate written permission from MemOS in advance. It should also be noted that even if MemOS does not exercise its reserved rights in a timely manner, it does not mean a waiver of such rights.
本协议中未明确授予您的其他所有权利，均由MemOS保留。若您需要行使这些权利，必须事先另行获得MemOS的书面许可。同时需要说明的是，即便MemOS未及时行使其保留的权利，也并不意味着对该权利的放弃。
When you publish or disseminate content generated by this service externally, you must strictly comply with the following usage standards:
当您对外发布或传播本服务生成的内容时，须严格遵守以下使用规范：
（1）（1）Content Authenticity Verification Obligation / 内容真实性核查义务
You should actively conduct comprehensive verification of the authenticity and accuracy of output content. Before dissemination, you need to ensure content authenticity and reliability through reasonable means such as consulting authoritative materials, cross-referencing data sources, and clarifying content boundaries, to avoid damage to others' rights and interests or adverse social impacts due to dissemination of false or misleading information.
您应当主动对输出内容的真实性、准确性进行全面核验。在传播前，需通过查阅权威资料、交叉比对数据来源、明确内容边界等合理方式，确保内容真实可靠，避免因传播虚假、误导性信息导致他人权益受损或产生不良社会影响。
（2）AI Generation Identification Requirements / AI生成标识要求
You must mark that the content is generated by artificial intelligence in a prominent, clear, and easily identifiable manner. The identification should be placed on the content's front page, below the title, or in other conspicuous positions to ensure that the audience can clearly know the content generation attributes before use or reading.
您必须以显著、清晰且易于识别的方式，标明该内容由人工智能生成。标识应置于内容首页、标题下方或其他醒目位置，确保受众在使用或阅读前即可明确知悉内容生成属性。
（3）（3）Compliant Dissemination Requirements / 合规传播要求
It is prohibited to publish or disseminate any content that violates laws and regulations, infringes on third-party rights, or violates public order and good morals, specifically including but not limited to:
禁止发布或传播任何违反法律法规、侵犯第三方权益或违背公序良俗的内容，具体包括但不限于：
Those who violate the above provisions must bear corresponding legal responsibilities.
违反上述规定者，须自行承担相应法律责任。
Without written permission from this platform, you may not use the generated content for the following commercial activities:
未经本平台书面许可，您不得将生成内容用于以下商业活动：
If you violate any of the above terms, this platform has the right to immediately terminate services and require you to compensate for all losses caused thereby, including but not limited to direct economic losses, reputation damage, and rights protection expenses (such as attorney fees, litigation costs, etc.).
若违反上述任何条款，本平台有权立即终止服务，并要求您赔偿因此造成的全部损失，包括但不限于直接经济损失、商誉损害及维权支出（如律师费、诉讼费等）。
You irrevocably grant us a global, non-exclusive, permanent, sublicensable license to use generated content for the following purposes:
您不可撤销地授予我们全球性、非排他性、永久性、可转授权的使用许可，允许我们基于以下目的使用生成内容：
Your use of platform services outside the mainland of the People's Republic of China should comply with all laws, regulations, and policies of the United States, European Union, and/or other governmental entities.
您在中华人民共和国大陆以外的地区使用平台服务应遵守美国、欧盟和/或其他政府机关等实体的全部法律、法规、政策的限制与监督。
When using platform services, you must strictly comply with the currently effective laws, regulations, policies, standards, and industry norms of the People's Republic of China. The following behaviors that violate information security management and risk prevention mechanisms are prohibited:
您使用平台服务时，须严格遵守中华人民共和国现行有效的法律法规、政策、标准及行业规范。禁止实施以下违反信息安全管理及风险防范机制的行为：
At the same time, you must not violate the “Internet Information Service Management Measures,”“Network Information Content Ecological Governance Provisions,”“Interim Measures for the Management of Generative Artificial Intelligence Services,” and other regulations. It is prohibited to input, output, or disseminate the following illegal and harmful information:
同时，您不得违反《互联网信息服务管理办法》《网络信息内容生态治理规定》《生成式人工智能服务管理暂行办法》等规定，禁止输入、输出或传播以下违法不良信息：
You understand and agree that MemOS may impose reasonable restrictions on the number of service requests based on product and service characteristics, user usage, etc., subject to the specific terms of product and service rules.
您理解并同意，MemOS可能会根据产品及服务特性、用户使用等，对服务请求次数进行合理的限制，具体以产品及服务规则等文案为准。
MemOS highly values user information protection and commits to taking reasonable measures to protect your privacy rights. To optimize service experience, you agree and authorize the platform to collect information and data you actively provide or generate during service use based on the principle of service necessity. This data will be used to improve services, meet user needs, and enhance user experience.
MemOS高度重视用户信息保护，承诺采取合理措施保障您的隐私权。为优化服务体验，您同意并授权平台基于服务必需原则，收集您主动提供或使用服务过程中产生的信息与数据。这些数据将用于改进服务、满足用户需求及提升使用体验。
If you refuse to provide necessary information or use platform services without user knowledge and authorization, it may result in partial or complete functional inability to operate normally. Once you use platform services, you and your users are deemed to have fully understood and accepted the content of this privacy policy, as well as subsequent updated and published revised versions by MemOS.
若您拒绝提供必要信息，或未在用户知情并授权的情况下使用平台服务，可能导致部分或全部功能无法正常使用。一旦您使用平台服务，即视为您及您的用户已充分知悉并接受本隐私政策内容，以及MemOS后续更新并公布的修订版本。
MemOS will handle user information with prudence and will not publicly disclose it to third parties except with prior authorization or as otherwise provided in this Agreement. When necessary, the platform may share personal information with affiliated companies but will require them to strictly follow this privacy policy and related confidentiality and security measures.
MemOS将以审慎态度处理用户信息，除事先获得授权或本协议另有规定外，不会向第三方公开披露。在必要情况下，平台可能向关联公司共享个人信息，但将要求其严格遵循本隐私权政策及相关保密安全措施。
Under the following circumstances, MemOS may disclose your or your users' information:
在以下情形下，MemOS可能会披露您或您用户的信息：
According to legal provisions, personal information that has been de-identified and cannot be re-identified does not constitute external sharing, transfer, or public disclosure, and the platform's processing of such data does not require separate notification and consent.
根据法律规定，经去标识化处理且无法复原识别的个人信息，不属于对外共享、转让或公开披露行为，平台对此类数据的处理无需另行通知并征得同意。
MemOS prioritizes information security above all else and employs various security technologies and procedures to prevent unauthorized access, use, or disclosure of user information. Despite the strict protective measures implemented by the platform, due to the inherent limitations of network security technology and the unforeseeable nature of security threats, absolute information security cannot be guaranteed. Furthermore, maintaining service security is a shared responsibility between the platform and users. You shall properly safeguard personal information and ensure that users are aware of related risks.
MemOS始终将信息安全放在首位，综合运用多种安全技术与程序，防止用户信息遭到未经授权的访问、使用或泄露。尽管平台采取严格防护措施，但由于网络安全技术的局限性及安全威胁的不可预见性，无法绝对保证信息安全。同时，维护服务安全是平台与用户的共同责任，您应妥善保管个人信息并确保用户知悉相关风险。
If you believe that the platform services involve intellectual property infringement, violations of laws and regulations, or breaches of this agreement, or if you have opinions or suggestions regarding the services, you may provide feedback through the following channels:
如您认为平台服务存在知识产权侵权、违法违规或违反协议的行为，或对服务有意见建议，可通过以下方式反馈：
In response to conduct that violates this Agreement or other terms of service, MemOS reserves the right to independently assess and implement remedial measures including, but not limited to, warning notifications, mandatory corrections within specified timeframes, restriction of account functions, suspension or termination of accounts, prohibition of re-registration, and deletion of content. The platform reserves the right to announce the results of such actions and to independently determine whether to restore account usage. For conduct suspected of criminal violations, relevant records will be preserved and the platform will cooperate with competent authorities in accordance with applicable law. You shall bear sole responsibility for any legal liability and third-party claims arising therefrom. Should the platform suffer losses as a result, you shall be liable for full compensation including, but not limited to, litigation costs, attorney fees, notarization fees, and other rights protection expenses.
针对违反本协议或其他服务条款的行为，MemOS有权独立判断并采取警示提醒、限期整改、限制账号功能、暂停/关闭账号、禁止重新注册、删除内容等处置措施。平台有权公告处理结果，并自主决定是否恢复账号使用。对于涉嫌违法犯罪行为，将保存相关记录并依法配合主管部门调查。由此产生的法律责任及第三方索赔，均由您自行承担；若造成平台损失，您需赔偿全部费用，包括但不限于诉讼费、律师费、公证费等维权支出。
While the platform is committed to providing secure and stable services, such services are provided on an “as is” and “as available” basis. Due to technical limitations, the platform cannot guarantee the following:
平台致力于提供安全稳定的服务，但服务仅以“现状”和“现有功能”提供。受技术条件限制，平台无法对以下事项作出保证：
You understand and agree that our business decisions, government actions, force majeure events, and other reasons may result in the suspension, interruption, or termination of some or all of the platform's services. If such a situation arises, we will use reasonable means to inform you in advance within a reasonable period of time. Unless otherwise stipulated by laws and regulations, we do not bear any losses caused to you as a result.
您理解并同意，我们根据自身商业决策、政府行为、不可抗力事件等原因可能会导致出现中止、中断以及终止平台部分或全部服务。如出现此类情形，我们将采用合理的方式在合理期限内向您提前告知。除法律法规另有规定外，我们不承担由此给您带来的损失。
8.1 The formation, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (Mainland).
8.1 本协议的订立、执行和解释及争议的解决均应适用中华人民共和国大陆地区法律。
8.2 In the event of disputes arising from the execution, performance, or interpretation of this Agreement, both parties shall make good faith efforts to resolve such disputes through amicable consultation. Should consultation fail, either party may bring legal action before a court of competent jurisdiction in the domicile of Memory Tensor (Shanghai) Technology Co., Ltd.
8.2本协议的签订、履行或解释发生争议，双方应努力友好协商解决。如协商不成，任何一方均有权向记忆张量（上海）科技有限公司住所地有管辖权的法院起诉。
9.1 Regardless of the reason for partial revocation, invalidity or unenforceability of the terms of this agreement, the remaining terms shall remain valid and binding on both parties, and you and we shall continue to perform in good faith.
9.1本协议条款无论因何种原因部分废止、无效或不可执行，其余条款仍有效，对双方具有约束力，您与我们仍应善意履行。
9.2 The headings of all clauses in this agreement are for the sake of clarity and readability only, and do not have any actual meaning in themselves, and cannot be used as a basis for interpreting the meaning of this agreement.
